伯恩光学是一家专注于智慧设备外观结构及模组方案的企业。作为一家典型的扎根大湾区、业务遍及全球的制造业企业,其面临着产品类型繁多、员工数量庞大、供应链复杂的业务现状,特别需要贴合制造业特性的法务团队为其提供服务。
一直以来,这正是伯恩光学法务管理中心探索的方向:一方面,其打造了创新的团队架构,在内部拉通“专员池”,并在主管层面确立三大方向,做到了既深入专业,又动态灵活;另一方面,从到生产线接受培训,到深入参与业务全流程,法务管理中心始终站在业务第一线,提供具备商业价值的服务。
今年,伯恩光学法务管理中心上榜ALB首个粤港澳大湾区法务团队榜单。借此机会,ALB与其管理者苏丹展开对话,了解法务管理中心如何支持公司新业务发展、贡献商业价值,以及深度支持公司国际化发展。
Q
过去几年,伯恩光学法务管理中心在公司新业务发展中扮演何种角色?
苏丹,伯恩光学法务高级总监:基于新能源汽车产业的快速发展,伯恩光学特别聚焦于车载光学组件新业态,法务管理中心为公司战略拓展提供了有效支撑。
首先,法务团队和业务团队一起从零学习、收集、整理车载组件专业知识,参与业务部门与客户、供应商、保险公司等会议,亲历业务交流,获取专业知识。
其次,法务团队详细比对了车载业务和公司此前主营的手机消费类业务,列出两者在风控要求、法律红线、政策法规层面的差异,从而确定合规重点,有针对性地制定风控措施。
第三,法务团队和业务部门、公司管理者就公司的风险偏好展开积极沟通。印象深刻的是,与手机相比,车载产品合同风险较高,一方面产品未来存在一定的召回风险,另一方面一旦涉及人身安全事故,供应商可能要承担巨额赔偿,对此管理层颇有顾虑。法务部门于是和业务部门共同收集车载行业实践,明确质量保险、召回保险等扮演的关键角色,并参与到与保险公司的洽谈之中。最终通过厘清风险边界,帮助管理层决策落地重要车载业务合同——我们从不是一个只说“不行”的团队,而是以提供解决方案为导向,把推动商业与合规结合在一起。

贵团队如何体现自身的“商业价值”?
苏丹:我们的商业价值和思维主要体现在以下几个方面:
首先,深度熟悉公司战略、业务痛点、商业卡点,例如阻碍战略落地、合同签约、纠纷解决的具体问题,在此基础上展开工作,使业务顺畅运行。
其次,制定能够嵌入业务流程的风控点,尽量减少新设流程、降低工作繁琐度,尊重并重视商业效率。
最后,通过法律实务培训,以及商业谈判、合同修改、纠纷解决等,切实提升业务部门的法律知识,帮助他们带着风控意识展开商业全过程;同时请业务给法务展开例如采购流程等实践培训,也提升我们的商业知识和意识。

你们同时在海外设立有法务团队,其搭建过程和思路是怎样的?
苏丹:海外法务团队也是我们从零开始的尝试。最初集团对配备当地法务存疑,于是在2022年底,我们借助尽职调查的方法,请海外子公司各业务部门填写法律风险及法律事务摸底问卷,并展开访谈,通过汇总报告论证了当地法务的必要性。彼时伴随公司业务需求,我们于是搭建起了当地法务架构。
海外团队采取了本地律师加中方人员的结构,这是更符合多数中资跨国企业现状的法务管理模式。一方面,我们需要本地人才提供本地法服务、中国人才提供中国法和香港法服务;另一方面,中方人员能够协助集团贯彻风控政策,同时降低子公司失控风险。
未来我们将进一步优化海外法务团队的管理,提升专业能力和本地经验。

贵团队未来有怎样的发展目标?
苏丹:作为一家技术密集、设备密集和人员密集制造业企业的法务团队,伯恩光学法务管理中心在合规管理上需要不断接受新的挑战,也促进了团队的快速成长,法务基础越来越牢固。我们希望未来继续跟随、支撑公司业务发展,更好的发挥专业价值。
Driving Business Value, Providing Solutions, Pioneering Legal Support for the Manufacturing Industry:
An Interview with the Legal Management Center of Biel Crystal
Biel Crystal Holdings Limited is a global leader specializing in structural and modular solutions for smart devices. As a typical manufacturing enterprise rooted in the Greater Bay Area with a complex global supply chain and a vast range of products and employees, the company requires a legal team that aligns closely with manufacturing industry characteristics.
The Legal Management Center of Biel Crystal has been actively exploring innovative ways to provide value-driven and solution-oriented legal support. The team combines a dynamic internal structure, professional expertise, and hands-on business integration. From training on production lines to involvement in every business process, the Legal Management Center consistently delivers legal services that add commercial value.
This year, the Legal Management Center was recognized on the 2024 ALB China GBA In-House Teams list, the first of its kind in the Greater Bay Area. To celebrate this achievement, ALB spoke with Yolanda Su, the leader of the center, to uncover how the team supports Biel Crystal's new business development, contributes to its global strategy, and delivers measurable commercial impact.

What role has the Legal Management Center played in the company’s new business ventures in recent years?
Yolanda Su: As the automotive industry evolves rapidly, Biel Crystal has strategically focused on automotive optical components. The Legal Management Center has provided effective legal support in several ways:
Acquiring Expertise: We started by learning about automotive components from scratch alongside business teams, gathering knowledge through meetings with clients, suppliers, and insurers to immerse ourselves in the business.
Risk Differentiation: We compared the automotive business with our core mobile phone business, identifying differences in risk controls, legal thresholds, and regulatory requirements. This allowed us to craft targeted compliance measures.
Risk Communication: The legal team worked with business units and management to address concerns about contract risks in automotive products. For instance, unlike mobile devices, automotive products involve risks such as recalls and safety-related liabilities. To mitigate these, we collaborated with insurers to clarify the roles of quality and recall insurance, ultimately supporting management in finalizing critical contracts.
Our goal has always been to offer solutions, not just identify problems. We aim to integrate commercial needs with compliance requirements to drive business growth.

How does your team demonstrate its "commercial value"?
Su: Our commercial value lies in three core aspects:
Business-Driven Approach: We align closely with the company’s strategic goals, addressing pain points such as bottlenecks in contract signing or dispute resolution to ensure seamless operations.
Streamlined Risk Controls: We minimize workflow disruptions and prioritize commercial efficiency by embedding risk controls into existing business processes.
Legal Empowerment: We equip business teams with risk awareness through practical legal training and involvement in negotiations, contract revisions, and dispute resolution. Simultaneously, we learn from their expertise, such as procurement workflows, to enhance our commercial acumen.

Your team has also established legal teams overseas. Can you share the approach and rationale behind this?
Su: Building overseas legal teams was a new initiative for us. Initially, there were doubts about the necessity of local legal personnel. To address this, we conducted a due diligence exercise at the end of 2022, surveying overseas subsidiaries to identify legal risks and requirements. The resulting report justified the need for local legal teams.
We implemented a dual-structure model combining local lawyers and Chinese staff, a common practice among Chinese multinational corporations. Local lawyers provide expertise on local laws, while Chinese personnel handle Chinese and Hong Kong legal matters, ensure the implementation of risk control policies, and mitigate the risk of losing oversight over subsidiaries.
Going forward, we aim to enhance the professionalism and local experience of our overseas teams to better support our global operations.

What are your future development goals for the Legal Management Center?
Su: As the legal team for a technology-intensive, equipment-intensive, and labor-intensive manufacturing company, we constantly face new challenges in compliance and risk management. These challenges have accelerated our team’s growth and strengthened our legal foundations.
Looking ahead, we aim to continue aligning with and supporting the company’s business expansion while maximizing our professional value. We aspire to remain at the forefront of legal support in the manufacturing industry.
