1. 争议解决机制(Dispute Resolution Mechanism)
确定争议解决方式: 确定合同中是否明确规定了争议解决的方式，例如仲裁、诉讼或其他替代性争议解决机制。
Check if the contract specifies the method of dispute resolution, such as arbitration, litigation, or other alternative dispute resolution mechanisms.
2. 适用法律(Governing Law)
确定适用法律:合同是否明确规定了适用的法律或法律体系。
Verify if the contract specifies the governing law or legal system.
3. 争议解决地点(Place of Dispute Resolution)
指定争议解决地点:合同是否明确了争议解决的地点或法院管辖地。
Check if the contract specifies the location for dispute resolution or the jurisdiction of the court.
4. 仲裁条款(Arbitration Clause)
仲裁机构: 确定合同是否指定了仲裁机构或组织，例如国际商会（ICC）、伦敦国际仲裁法院（LCIA）等。
Determine if the contract specifies the arbitration institution or organization, such as ICC, LCIA, etc.
仲裁规则: 检查合同是否规定了适用的仲裁规则和程序。
Check if the contract stipulates the applicable arbitration rules and procedures.
仲裁员的选择: 合同是否规定了仲裁员的选择程序。
Verify if the contract outlines the process for selecting arbitrators.
5. 争议解决时间框架(Time Frame for Dispute Resolution)
规定时间限制:合同是否规定了提起争议的时间限制以及解决争议的时间框架。
Check if the contract includes time limits for raising disputes and resolving them.
6. 费用和开支(Costs and Expenses)
争议解决费用: 合同是否明确规定了争议解决过程中的费用和开支的承担方式。
Verify if the contract specifies how costs and expenses related to dispute resolution will be handled.
7. 强制性条款(Mandatory Clauses)
强制执行条款: 确保合同中包含的争议解决条款符合适用法律的强制性规定。
Ensure that the dispute resolution clauses comply with mandatory provisions of applicable law.
8. 保密性(Confidentiality)
保密条款: 合同中是否包含有关争议解决过程的保密条款。
Check if there are confidentiality clauses related to the dispute resolution process.
