1. Definition of Default / 违约的定义
Ensure that the term "default" is clearly defined. 确保“违约”一词被明确定义。
Identify specific events or circumstances that constitute default. 确定哪些具体事件或情况构成违约。
2. Material vs. Non-Material Defaults / 实质性违约与非实质性违约
Differentiate between material and non-material defaults. 区分实质性违约与非实质性违约。
Specify the consequences for each type of default. 规定每种违约类型的后果。
3. Notice of Default / 违约通知
Determine if there is a requirement for notice of default. 确定是否需要发出违约通知。
Specify the method and time frame for delivering notice. 规定通知的方式和时间框架。
Check if there is a cure period after notice. 检查在通知后是否有补救期。
4. Remedies and Actions / 救济措施和行动
Detail the remedies available for the non-defaulting party. 详细说明非违约方可以采取的救济措施。
Include options such as termination, damages, or specific performance. 包括终止合同、赔偿或特定履行等选项。
Clarify any limitations on the remedies. 澄清对救济措施的任何限制。
5. Termination Clauses / 终止条款
Specify conditions under which the contract can be terminated due to default. 规定因违约而终止合同的条件。
Describe the process and consequences of termination. 描述终止合同的过程和后果。
6. Force Majeure / 不可抗力
Include provisions for force majeure events and their impact on default. 包括不可抗力事件及其对违约的影响的规定。
Ensure clarity on how force majeure affects the obligation to cure. 确保对不可抗力如何影响补救义务有明确说明。
7. Dispute Resolution / 争议解决
Define the process for resolving disputes arising from default. 确定解决因违约产生的争议的过程。
Specifywhether arbitration, mediation, or court litigation is used. 规定是否采用仲裁、调解或法院诉讼。
8. Governing Law / 管辖法律
State which jurisdiction's laws govern the default provisions. 说明哪些法律管辖违约条款。
