海尔集团旗下公司海尔智家于近期完成了对开利全球公司旗下的开利商用制冷业务的收购，交易对价约为7.75亿美元，这是中国投资者实施“走出去”战略的又一重大交易。

贝克·麦坚时国际律师事务所作为海尔智家的律师参与交易；高伟绅律师事务所、金杜律师事务所则就交易中的政府审批申报事宜提供法律服务。
海尔智家成立于1984年，主要提供智能及美好生活方式解决方案，也是全球家电领域最大的制造商。开利于1915年成立于美国佛罗里达，其商用制冷业务销售网络遍布欧洲和亚太地区。
本交易标志着海尔从家用制冷业务拓展到商用制冷领域。根据ALB的报道，今年7月，海尔智家通过收购伊莱克斯的南非业务，扩展了其在南非的热水器业务领域布局。
贝克·麦坚时团队由米兰办公室的Marco Marazzi、Margherita Pasi以及法兰克福办公室的Felix Werner领导。上海办公室合伙人徐津律师就中国法律问题提供服务；
高伟绅团队由合伙人柏勇领导，来自高伟绅全球网络的反垄断、外商投资、外国补贴审查方面的专家亦为本复杂项目提供了法律支持。

Baker, CC, KWM on Haier’s $775 mln acquisition of commercial refrigeration business
Haier Smart Home, a subsidiary of Haier Group, has completed the acquisition of Carrier Global Corporation's commercial refrigeration business for approximately $775 million. This transaction marks another significant step in China’s “Going Global” strategy.
Baker McKenzie acted as Haier Smart Home’s legal counsel for the transaction, while Clifford Chance and King & Wood Mallesons provided legal assistance on regulatory legal services.
Founded in 1984, Haier Smart Home is a leading enterprise focused on providing smart and better-lifestyle solutions, and is also the largest household appliances maker globally. Carrier, established in Florida in 1915, operates an extensive commercial refrigeration network across Europe and the Asia-Pacific region.
The transaction signifies Haier’s expansion from household to commercial refrigeration. According to ALB, in July this year, Haier Smart Home also expanded its water heater business in South Africa by acquiring Electrolux's South African operations.
The Baker McKenzie team was led by Milan office partners Marco Marazzi and Margherita Pasi, along with Felix Werner from the Frankfurt office. Shanghai-based partner Jeff Xu advised on Chinese legal matters.
The Clifford Chance team, led by partner Bai Yong, included antitrust, foreign investment, and foreign subsidy review experts from its global network to support this project.
