近日，中国互联网本地商业平台美团成功发行25亿美元境外债券。汉坤律师事务所、达维律师事务所作为发行人律师参与交易；君合律师事务所、高伟绅律师事务所则为券商提供法律意见。

据悉，这是美团2021年4月以来首单境外债券发行，也是近三年中资离岸债券市场最大规模发行、2024年中国科技领域最大规模离岸债务交易。
美团公告称，拟将募资大部分用于现有离岸债务的再融资操作，以进一步改善公司的财务状况，此外，所筹资金还将用于支持公司日常运营及其他一般企业目的。
迈普达律师事务所为该交易提供了离岸法律服务。
此次发行的承销机构包括高盛、美银证券、摩根士丹利、汇丰银行、瑞银集团、巴克莱银行、中信里昂证券。
君合团队由合伙人余永强律师牵头。
达维团队由达维亚洲 (日本除外) 联席主管、全球合伙人何鲤及全球合伙人任舸海领导。
高伟绅团队由合伙人陈菀淇和杨逸龙共同牵头负责。

Davis Polk, CC, Han Kun, JunHe on Meituan’s $2.5 bln bond issuance
Davis Polk, Han Kun Law Offices have advised Chinese internet-based local service platform Meituan on its issuance of $2.5 billion offshore bonds, with Clifford Chance and JunHe providing legal advice to the underwriters.
This marks Meituan’s first offshore bond issuance since April 2021 and is the largest issuance in the offshore bond market for a Chinese company in three years, as well as the largest offshore debt transaction in China’s technology sector to date in 2024.
According to Meituan, the majority of the proceeds will be used for refinancing existing offshore debt to enhance the company’s financial position. Additionally, funds raised will support daily operations and other general corporate purposes.
Maples and Calder provided offshore legal services for the transaction.
Underwriters for the issuance included Goldman Sachs, Merrill Lynch, Morgan Stanley, HSBC, UBS, Barclays, and CLSA.
The Davis Polk team was led by co-head of Asia (excluding Japan) Li He, alongside partner Gerhard Radtke.
Partners Angela Chan and Alan Yeung co-led the Clifford Chance team in Hong Kong.
The JunHe team saw the leadership of partner Yu Yongqiang.
